6. EXECUTIVE AND CONTROL BODIES
6.1 Association's Bodies are: the Assembly, the Board, the President, and Auditing Committee.
Any adult Association member may be elected to the executive and control bodies.
The Assembly is constituent if there is more than a half of the number of its members
(at Association meeting). The voting is carried out by the following principle: one member
has one vote.
6.2. A superior managing body of the Association is the Assembly. The Assembly is convened by
the Board as required, but not less often than once a year. An extraordinary Assembly can be
also called by the demand of not less than 1/3 of the number of Association members.
6.2.1. The Assembly is competent to accept the decisions about the Association's activities.
The exclusive competency of The Assembly are:
- to accept decisions on a creation, re-organization and liquidation;
- to approve the Association's Charter and its amendments;
- to elect the Board, President, Auditing commission;
- to accept the Board, President and Auditing commission reports;
- to prioritize activity directions and strategy planning;
- to arrest the President and Board decisions at their discrepancy to the current
legislation, requirements or strategy.
6.2.2. The Assembly decisions are accepted by secret or open voting by the majority of the
present members of the Association.
6.3. In the periods between Assembly meetings the supreme body of Association is the Board
(consisting of not less 3 persons to be elected for one year term).
6.3.1. The Board:
- organizes and controls the performance of the decisions of the previous Assembly;
- co-ordinates the activity of Association, realize programs, projects, plans;
- accepts the normative documents, including the offers or changes and amendments
in the Charter;
- disposes the financial and material Association assets;
- estimates the budget and the financial reports;
- approves the staff hired;
- accepts the decisions on creation or abolition of affiliated bodies
- provides safety of the account documents, transfer them to the local Government
Records Office;
- consider any questions connected with the Association's activity;
- affirms the resolutions on the admission or exception from the Association members;
- brings into force the Assembly decisions.
6.3.2. The President of the Association:
- is a Board member, supervises its work, prepares Board sessions, controls its resolutions;
- deputises for Association and its interests (without the power of attorney)
in the relations with state, public and other institutions and physical persons.
- submits reports on his and Board's activities to the Assembly;
- approves standard documents regulating professional and economic activity of Association;
- captains the Association;
- makes and cancels the contracts, within his commission opens Bank accounts,
carries out financial operations, signs the documents, reports and outgoing correspondence;
- employs and selects a staff;
- defines duties and commission of the Association staff;
- reports to the Assembly on financial and labour discipline, assets and Association property;
- issues orders, arranges encouragement and imposes discipline for the staff;
- acts within the Charter commission except those not concerning the exclusive competence of
the Assembly and the Board.
6.5. The Auditing Commission is selected by the Assembly (not less than 3 persons) for a
one year period.
6.5.1. Auditing commission:
- Supervises the Association's financial activity;
- Revises the audition not less often than once per year;
- Audits the accounts and material assets.
6.5.2. The Auditing verdicts are accepted by open voting majority. The Regulations on the
Auditing commission must be approved by the Board.
6.6. The executive staff of the Association (its executive director, accountant, secretary and
some others, temporarily involved on a contract basis) are paid salaries according to
the Board's resolution.
